Item 5.02 Departure of directors or principal officers; Election of directors; Appointment of certain officers; Compensation for the arrangements of certain executives

On April 14, 2022, the board of directors appointed Yan Namer, 50, member of the board of directors and of the audit committee with immediate effect.

Biographical information for Yan Namer

Mr. Namer currently serves as Chairman and CEO of Empatho Holdings Inc., a CSE-listed company. Prior to that, Mr. Namer had careers in various companies in different industries including application technology, artificial intelligence and distribution.

Mr. Namer holds a Bachelor of Commerce degree from EDC Business School in Paris, France, and a Masters in Business Administration from the University of Évry in Paris, France.
